INTRODUCTION

These Club Rules (the "Rules") are established by The June (the “Club”) (all capitalized terms used in these Rules and not otherwise defined herein shall have the same meanings as they have in the Club Membership Plan (as amended, modified or supplemented from time to time, the "Membership Plan") to protect the Club Facilities, to promote the health, safety, welfare and enjoyment of the Club Facilities by the Members and their guests pursuant to the Membership Plan, and provide Members with an enjoyable, private and anonymous club experience. These Rules, in conjunction with the Membership Plan, Membership Agreement, and the Nondisclosure Agreement, govern the use of the Club Facilities by the Members and their guests, as well as other matters pertaining to membership in the Club. 

NONDISCLOSURE AGREEMENT 

Privacy and anonymity are essential to the purpose and existence of the Club. Many members and guests are public figures who visit the Club premises for a place to socialize outside the purview of the public eye. Without the club's ability to maintain the privacy and anonymity of its members and guests, the very existence of the Club would be compromised. Accordingly, all members and guests are bound by the Club’s nondisclosure agreement, as it may be amended by the club from time-to-time prohibiting disclosure to any person the identity of any person as a Club member or guest, or the presence of any member or guest at the club facilities. Members are responsible for the conduct of their guests and informing them about the Club rules, including the nondisclosure agreement. Failure to abide by the nondisclosure agreement is a cause for termination of membership and access to the club facilities. 

GENERAL CLUB RULES 

  1. Each Member and each person who uses the Club Facilities or is present on the Club premises as a guest of a Member, or otherwise, shall be bound and abide by all of the provisions of these Rules, as they may be amended, modified or supplemented by the Club from time to time. In addition, each Member shall be responsible under these Rules for all of the acts and conduct of such Member's guests. Members are responsible for informing their guests about the Club rules, including the Nondisclosure Agreement. References herein to "Member" shall include the Member's guests unless otherwise indicated or the context requires to the contrary. 
  2. Any reference herein to a right, decision or permission being reserved to the Club shall mean that such right, decision or permission may be exercised, made, granted or withheld, as the case may be, in the Club's sole and absolute discretion, unless otherwise expressly stated, and use of the term "discretion," shall mean sole and absolute discretion. 
  3. The Club Facilities shall be open on the days and during the hours as may be established by the Club from time to time. Areas of the Club Facilities also may be closed for scheduled maintenance and repairs. The Club reserves the right to close portions of or all of the Club Facilities and to hold events/parties from time to time, subject to the provisions of the Membership Plan. The Club may be closed for private events/parties a total of 12 times in any given calendar year. All closings will be announced in the Members' portal on the Club website. The Club further reserves the right to restrict use of portions of the Club Facilities to Members only (i.e., not including guests). 
  4. Alcoholic beverages will not be served or sold, nor permitted to be consumed, at the Club premises in any manner that is prohibited by law. The Club reserves the right, in its discretion, to refuse service to any person, including a Member, who appears to be intoxicated. Team members working at the Club Facilities will be permitted to deliver food and/or beverages to locations away from the service area in question only with the permission of the Club. 
  5. Except as otherwise permitted by the Club from time to time, The Club shall be the sole provider of food and beverages at the Club premises, and persons shall not be allowed to bring their own food or beverages for consumption at The Club. The Club premises and/or facilities thereon may not be used for any fundraising or political effort or demonstration for the benefit of any social or political cause, except as the Club may otherwise approve in writing from time to time. No petitions or similar items shall be originated, solicited, circulated or posted at the Club premises without the Club's prior written approval in each instance. 
  6. The Club premises and/or facilities thereon shall not be used for any religious service, gathering or function or similar activities except as the Club may otherwise approve in writing from time to time. 
  7. No Member or guest shall ever post on social media about any persons or any activity at The Club. Doing so is a violation of the Club’s mandatory Nondisclosure Agreement, and subject the person to disciplinary action, including suspension and/or expulsion from The Club. Members and their guests should exercise great respect and care if approaching another Member or guest of a Member that is not personally known to the Member or their guest, as respecting privacy is an important policy of The Club. Unless otherwise approved by the Club, there is no photography or videography of any kind permitted on the Club premises. Failure to adhere to the Club's privacy policy by a Member or their guest will subject the Member and/or the guest, as the case may be, to disciplinary action, including suspension and/or expulsion from the Club. 
  8. Mobile phones should be placed on silent or vibrate at all times while at The Club. Phone calls are permitted in designated areas only so as not to disturb other Members and their guests. While texting and emailing from your mobile device will be permitted, Members are reminded that such mobile devices are not to be used to take pictures, videos, or to make any other recordings, or for social media purposes. 
  9. No cameras, video or recording devices may be used while at The Club. The Club may, in its discretion, arrange for a private area for interviews or live streaming. In addition to the Club’s privacy policy forbidding any posting at or about The Club to social media (lnstagram, YouTube, Twitter, Facebook, Snapchat, Personal Bios, etc.), the Club has a strict no press policy. Members are subject to disciplinary measures as hereinafter provided if they or their guests violate the terms of the Non-Disclosure Agreement. 
  10. Members shall not request any illegal or special personal services from team members working at the Club premises (whether on duty or off duty) or request the personal use of property or equipment that is not ordinarily made available for use by Members. 
  11. No dogs or other pets (with the exception of recognized service animals assisting persons with disabilities) are permitted on the Club premises, except with the permission of the Club in each instance. No violent, aggressive or loud dogs are permitted on the Club premises. To the extent dogs are permitted on the premises, they must be on a leash no longer than six feet in length at full extension and must remain on the floor at all times. Members shall be responsible for all damage caused by an animal brought to the Club premises. Members shall clean up after their pets. 
  12. All complaints, criticisms or suggestions of any kind relating to any of the operations of the Club Facilities or The Club or team members working at the Club premises must be in writing, signed and addressed to the General Manager or other person designated by the Club from time to time. 
  13. Members shall comport themselves in a non-violent, non-aggressive, reasonable manner while present on the Club premises. Members may not abuse, verbally or otherwise, anyone present on the premises, including team members working at The Club. All persons working at The Club shall be under the supervision of the Club or its management personnel ("Management Personnel"), and no Member shall reprimand or seek to discipline any Club team member, nor shall a Member request a Club team member to leave the premises for any reason. Any Club team member not rendering courteous and prompt service should be reported to the Management Personnel of The Club immediately. 
  14. Parking of vehicles will be provided by The Club valet services. There is also street parking available. Vehicles parked in violation of "No Parking" signs or other parking restrictions may be towed at the owner's expense. 
  15. Smoking will be permitted only in designated areas. 
  16. No firearms or other dangerous weapons of any kind are permitted on the Club premises at any time. No fireworks are permitted on the premises, except for organized displays sponsored by the Club and except as otherwise approved by the Club in writing from time to time 
  17. The Club will designate team members who will have the authority to enforce these Rules. 
  18. The Club shall not discriminate against any individual because of the individual's race, color, religion, sex, national origin, age, handicap or marital status. 
  19. Members shall comply with all posted rules and regulations at the Club premises. 
  20. Members shall not use the names, logos, colors, trademarks, service marks, photographs, trade dress or other identifying features of The Club without obtaining the specific prior written approval of the Club. Members hereby expressly recognize that the Club marks are the valid, unique and exclusive property of the Company and its affiliates. Members may not produce or create or authorize others to produce or create the Clubs’ names, logos or other identifying items for any purpose whatsoever, including but not limited to, in any communications, marketing, advertising or other promotional materials (including, without limitation, brochures, flyers, invitations, e-mail messages, and the like), without the Club's prior written consent.

MEMBERSHIP DUES AND CHARGES 

  1. Dues will be billed annually in advance based upon each Member's admission to The Club date, unless otherwise determined by the Club. For those Members who are under the age of 30, dues can also be paid quarterly in advance, at the election of the Member, unless otherwise determined by the Club. 
  2. Members have the option of having dues either billed to their credit card or deducted from their bank or other financial institution account on file with The Club. Dues billed to a credit card will be subject to a 3.5% transaction fee. Fees and charges incurred in connection with the membership privileges will be billed to the Member's credit card on file with The Club. Cash payments are not permitted. 
  3. All Members are required to have a valid credit card approved by the Club on file with The Club at all times. Fees and charges will be billed to the Member's credit card on file on the date on which they are incurred. A statement of dues, fees and charges will be made available to each Member. Members agree to pay directly to the Club any amounts not paid by the credit card company or received from the bank or other financial institution account, as the case may be, within 5 days of receipt of written notice from the Club. A late payment charge per annum determined by the Club from time to time (but not to exceed the maximum amount permitted by law) shall begin to accrue from the date the amount became delinquent (i.e., 20 days from the date of the Club's notice of non-payment referred to above) until payment in full. Members having past due bills may be charged a reinstatement fee at the discretion of the Club to reactivate an account once it is deemed delinquent. 
  4. A Member may be entitled to credit and charge privileges at The Club so long as the Member's Membership is in good standing and the Member complies with the requirements contained herein regarding the posting of a credit card for the payment of delinquent amounts. 
  5. If a Member's account becomes delinquent, the Club shall have the right to suspend membership privileges in The Club at any time until the delinquent account is paid in full. Continued delinquency for a period of 90 days from the date an amount owed to the Club is payable or repeated incidents of delinquency by a Member may result in termination of membership in The Club. 
  6. If the account of any Member is delinquent, the Club may at its option take whatever action it deems necessary to effect collection. If the Club commences any legal action to collect any amount owed by any Member or to enforce any other liability of any Member to the Club, and if judgment is obtained by the Club, the Member shall also be liable for all costs and expenses of such legal action and reasonable attorneys' fees, including any fees required in connection with appellate proceedings or bankruptcy. 
  7. Notwithstanding the foregoing, if the Club retains legal counsel to pursue collection of a delinquent account, but which does not involve the commencement of a legal action related thereto, the Member in question shall be liable for reasonable attorneys' fees incurred by the Club in this regard. 
  8. A Member will be able to view his or her club account at the Member's portal. 
  9. The Club will not discriminate against any individual based on race, color, religion, sex, national origin, age, handicap, or marital status. 
  10. Members must comply with all posted rules and regulations at the Club premises. 
  11. Members may not use the Club's names, logos, colors, trademarks, service marks, photographs, trade dress, or other identifying features without the Club's specific prior written approval. Members acknowledge that these marks are the exclusive property of the Club and its affiliates. Members may not produce or authorize the production of Club identifying items for any purpose, including communications, marketing, advertising, or promotional materials, without the Club's prior written consent. 
  12. Members can view their club account on the Members' portal.

MAILING ADDRESSES

  1. Each Member shall be responsible for keeping the Club notified in writing with the current mailing address and electronic mail address of such Member from time to time. All monthly statements, notices, and other correspondence from the Club will be directed to such address, subject to the provisions hereof. A Member shall be deemed to have received each mailing from the Club on the earlier of actual receipt or seven days after deposit in the U.S. Mail with correct address and proper first-class postage. If at any time the Club has not received the current mailing address and electronic mail address of a Member, any mailing from the Club may, with the same effect described above, be addressed to the address or electronic mail address, as the case may be, that the Club believes is the most likely to result in delivery to such Member. All communications from the Club can be sent by electronic mail in the Club's discretion. Monthly statements can be posted on the Member's portal, accessible only by the particular Member in question.
  2. The Club must be notified in writing of any change of address or electronic mail address. Failure to do so shall constitute a waiver of the right to receive notices, bulletins and any other communications, and a violation of these Rules.

CLUB SERVICES AND ACTIVITIES

  1. The Club may provide a variety of social and recreational events in which Members are encouraged to participate. The Club desires to encourage the use of the Club Facilities by Members for private functions provided they do not unreasonably interfere with the normal operation of The Club or the services regularly available to Members.
  2. Group activities (i.e., gatherings of more than eight persons) on the The Club premises will be allowed only with the permission of Management Personnel.
  3. Members may be required to make reservations for The Club services and activities as determined to be appropriate by Management Personnel.
  4. For those services and activities that require an RSVP, members are asked to cancel their reservation no less than 24 hours prior if they are unable to attend. If a member RSVPs and fails to show up for three events, their ability to register for upcoming events will be suspended for three months.
  5. Private functions are permitted at The Club only with prior permission of the Club. The Member sponsoring the function shall assume full responsibility for the conduct of guests and the removal of any decor. Similarly, the sponsoring Member of the function shall be responsible for any damage to the Club Facilities and for the payment of any charges not paid by individuals attending the function.
  6. Special events and functions may be scheduled from time to time at the discretion of the Club as contemplated by the Membership Plan, which events may impact Member use of the Club Facilities.

CONDUCT

  1. Members are responsible for their own conduct and for the conduct of their guests. Any Member whose conduct (or the conduct of such Member's guest(s) shall be deemed by the Club to be likely to endanger the welfare, safety, harmony or good reputation of the Company or its affiliates, The Club or its Members, or their private and anonymous enjoyment of The Club or the Club Facilities, or is unlawful, may be reprimanded, fined, suspended or expelled from The Club and have all privileges associated with such Member's Membership suspended or terminated by the Club.
  2. The Club shall be the sole judge of what constitutes improper conduct, but improper conduct will include, without limitation: (a)failure to abide by the terms of the Nondisclosure Agreement, (b) failure to timely pay amounts owed to the Club, (c) violent or threatening behavior or behavior otherwise endangering the health, safety or wellbeing of any person or property, (d) mis-representing or failing to disclose information during the membership invitation/acceptance process, (e) allowing such Member's membership card to be used by anyone who is not authorized to do so, (f) abusing Club personnel or team members, other Members or anyone else on The Club premises from time to time, a (g) excessive displays of affection causing discomfort for members and team members, (h)acting in a manner incompatible with the standard of conduct of the existing membership or which would likely injure the reputation of the Members, The Club, the Company or its affiliates.
  3. Any Member accused of improper conduct (or whose guest is accused of improper conduct) shall be notified of the Club's proposed disciplinary action and shall be given an opportunity to be heard by the Club's designated representative(s) (e.g., General Manager or other individual or group designated for such purpose from time to time by the Club) to show cause why he or she should not be disciplined. If such Member desires to be heard, the Club's designated representative(s) or body shall set a time and date (not less than 10 days thereafter) for a hearing. The procedures set forth in this paragraph shall not restrict the Club's right to suspend a Member's privileges or expel a Member due to delinquent amounts owing by such Member. In addition, the procedures set forth in this paragraph shall not be available to a Member if the conduct of such Member or a Member's guest consists of violent or threatening behavior or conduct otherwise endangering the health, safety or well-being of any person or property, or in the case of a repeat violation of a provision of these Rules by such Member or a guest within one year after the Club has given written notice to such Member that repeated violation of such provision may result in the immediate suspension or expulsion of the Member without an opportunity for a hearing.
  4. If the Club determines that the conduct of the Member or such Member's guest(s) has been improper, the Club may suspend or restrict such Member's privileges of membership for any period of up to 12 months, and/or may suspend or terminate the Member's right to allow an offending guest(s) from utilizing such Member's privileges of membership or from entering the Club premises. In the case of a delinquent account, a suspension can remain in effect until the account is brought current. No Member will be entitled to any refund of any Joining Fee, dues or any other amount due to the suspension or restriction of any privileges of membership. During any period of restriction or suspension, dues will continue to accrue and be due and payable as if no suspension or restriction had been imposed.
  5. If the Club determines that the conduct of a Member or a Member's guest(s) has been improper, the Club can also expel the Member. A Member that has been expelled hereunder shall not be entitled to any refund of any Joining Fee paid, dues or any other amount due to the expulsion. All membership privileges shall cease upon expulsion.
  6. Violation of the Nondisclosure Agreement is cause for expulsion.

LOSS OR DESTRUCTION OF PROPERTY OR PERSONAL INJURY 

  1. Members, guests, and other users assume responsibility for their property. The Club is not liable for loss or damage to personal property on the premises. 
  2. No one may remove Club property without written authorization. 
  3. Members are liable for their actions and those of their guests related to Club use. 
  4. Members agree to indemnify the Club and its affiliates against all claims arising from their use of the Club. 
  5. Users accept all risks associated with using Club facilities. Users release and hold the Club harmless from all claims resulting from membership, use of the Club, or participation in Club events. 

TIPPING 

Cash tipping policies are subject to change at the Club's discretion. A 20% gratuity will be automatically added to all food and beverage charges unless a Member requests a check, in which case the Member may add their preferred gratuity amount. 

CHILDREN 

Children under 18 are generally not permitted at the Club, unless otherwise allowed by the Club. 

DRESS CODE 

While we encourage individuality, Members and guests should dress respectfully. The Club may update dress code requirements. Workout/yoga clothing is not allowed after 11 am, and men may not wear sleeveless shirts. Flip flops and beachwear are never appropriate. If in doubt, err on the side of elegance. Members are responsible for ensuring their guests comply with the dress code.

GUEST PRIVILEGES 

  1. Guest privileges are extended according to Club rules, including those in the Membership Plan. Guests may use facilities according to the sponsoring Member's privileges and upon paying applicable fees. The Club may limit guests to avoid inconveniencing Members. Guest privileges may be denied/revoked at any time. Suspended Members cannot be guests of other Members. 
  2. Guests agree to the Code of Conduct and must place stickers on their phone cameras. 
  3. Members may bring up to two guests without a reservation. Reservations are required for more than two guests. Guests may be seated to wait for the Member if a reservation was made and the guest's name was provided. If the Member is more than 15 minutes late, guests may be asked to wait elsewhere. 
  4. Members may sponsor accompanied guests over 18. Guests generally cannot remain after the Member leaves, but the Club may allow unaccompanied guests in bungalows. Bungalow guests can use other facilities and cannot sponsor additional guests. 
  5. Guests must register and sign a Guest Code of Conduct form upon arrival. 
  6. All guest charges will be applied to the sponsoring Member's account unless paid by the guest with a credit card. 
  7. The sponsoring Member is responsible for all guest charges and conduct. If a guest's behavior is unsatisfactory, they must leave at Management's request.

RESERVATIONS AND CANCELLATIONS 

  1. Dinner reservations may be required, as determined by the Club. To maintain service levels, Members should make reservations before 5:00 p.m. Reservations for parties over six are accommodated as available, with 24-hour notice requested. Please provide notice of changes/cancellations by 3:00 p.m. 
  2. Reservations may be required for certain Club activities and are accepted first-come, first-served. 
  3. Tables for dining room functions are assigned first-call, first-choice. Reservations for specific tables are usually not accepted. 
  4. Dining reservations are held for 15 minutes after the reserved time. 
  5. Club functions and activities have specific reservation and cancellation policies. 

EXEMPTIONS

The Club may grant exemptions to these rules in appropriate circumstances at its sole discretion. Granting an exemption in one case does not affect the decision in another. Each exemption application is considered case-by-case.
